Licensing Inquiry Terms & Use Restrictions – Thinking OS™

These Licensing Inquiry Terms & Use Restrictions (“Inquiry Terms”) govern your submission of any licensing, pilot, exposure, or evaluation inquiry relating to Thinking OS™, the SEAL Legal Runtime, or any associated infrastructure or materials (collectively, the “Thinking OS Services”) through our websites, forms, or designated intake channels (collectively, the “Inquiry Channels”).
By submitting an inquiry, you agree to these Inquiry Terms, our Website Terms of Use, and our Privacy Policy (together, the “Agreements”). If you do not agree, do not submit an inquiry.
These Inquiry Terms are intended to protect the integrity of Thinking OS™ and the SEAL Legal Runtime, safeguard our intellectual property, and define how any information exchanged at the inquiry stage may be used.
1. Purpose of the Inquiry Channels
1.1 Exploratory only. The Inquiry Channels exist solely to allow you to tell us who you are, what environment you operate, and what type of access or pilot you may be interested in.
1.2 No obligation. Submitting an inquiry does not obligate Thinking OS™ to offer you any license, pilot, access, demonstration, or other engagement. We may accept, decline, or ignore any inquiry at our sole discretion.
1.3 No guarantees. We do not guarantee any response time, availability of pilots, or compatibility of the Thinking OS Services with your environment.
2. No License, No Commitment
2.1 No license granted. Submitting an inquiry does not grant you any license or rights (express or implied) to use, access, test, evaluate, or integrate the Thinking OS Services, any runtime, or any related technology. Any such rights will only arise under a separate, written agreement executed by Thinking OS™ and you (or your organization).
2.2 No commitment to negotiate. These Inquiry Terms do not create any obligation on either party to enter into further discussions, to negotiate, or to sign any agreement.
2.3 Pre-contractual stage. All interactions under these Inquiry Terms are pre-contractual and exploratory and may be discontinued by either party at any time, for any reason or no reason.
3. Information You Submit
3.1 Your responsibility. You are solely responsible for the accuracy, completeness, and lawfulness of any information you submit through the Inquiry Channels. You represent that you have all necessary rights and authority to submit that information.
3.2 No client secrets or regulated data. Unless we enter into a separate, signed agreement that explicitly says otherwise, you agree not to submit via the Inquiry Channels:
- client-identifying information (including names, docket numbers that can be tied to specific individuals, or matter descriptions that reveal client identity);
- protected health information (PHI), financial account numbers, or similarly regulated data;
- trade secrets or confidential information belonging to third parties.
3.3 How we treat submissions. Subject to our Privacy Policy and applicable law, we may treat information you submit as non-confidential and non-proprietary, and we may use it to:
- review your fit for pilots or licensing;
- design potential integration or runtime exposure paths;
- improve our internal understanding of market demand.
We do not use your submissions to train public models or to build general-purpose AI products.
3.4 No legal advice. Nothing you submit through the Inquiry Channels will be treated as a request for, or receipt of, legal advice. No attorney–client relationship is created between you and Thinking OS™ (or any of its personnel) by virtue of your submission or our response.
4. Materials We May Provide to You
From time to time, we may provide you with certain materials in response to your inquiry, such as:
- public briefs, executive overviews, white papers, or slide decks;
- technical appendices, integration checklists, or sample artifacts;
- limited demo access or sandbox outputs (collectively, “Inquiry Materials”).
4.1 Evaluation-only. Unless we expressly state otherwise in a signed agreement, you may use Inquiry Materials solely for your internal evaluation of a potential business relationship with Thinking OS™.
4.2 Use restrictions. You agree that you will not, and will not permit any third party to:
- use any Inquiry Materials to build, train, or improve any model, system, product, or service;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the structure, logic, or operation of any Thinking OS Services or sealed cognition infrastructure;
- copy, modify, translate, or create derivative works of Inquiry Materials, except as strictly necessary for internal evaluation;
- benchmark, test, or compare the Thinking OS Services or Inquiry Materials for publication, marketing, or competitive analysis without our prior written consent;
- redistribute, disclose, or make Inquiry Materials available to any third party, other than your employees and professional advisors who have a need to know and are bound by obligations of confidentiality at least as protective as these Inquiry Terms.
4.3 Ownership. All Inquiry Materials, and all intellectual property and proprietary rights therein, are and will remain the exclusive property of Thinking OS™ and its licensors. No ownership or other rights are assigned or transferred to you by providing any Inquiry Materials.
5. Intellectual Property; No Logic Reveal
5.1 IP ownership. Thinking OS™, the SEAL Legal Runtime, and related marks, designs, documentation, artifacts, and governance structures are protected by intellectual property and other laws. All rights, title, and interest not expressly granted to you are reserved by Thinking OS™ and its licensors.
5.2 No logic disclosure obligation. You acknowledge that Thinking OS™ is sealed cognition infrastructure, and that we have no obligation to disclose internal judgment structures, enforcement logic, or underlying algorithms, even during evaluation or negotiation.
5.3 Reverse engineering prohibited. You agree not to attempt to infer, extract, or reconstruct internal decision logic, policy structures, or “how it thinks,” whether by code inspection, traffic analysis, prompt experimentation, or any other means.
6. Your Conduct and Representations
By submitting an inquiry, you represent, warrant, and agree that:
- you are at least the age of majority in your jurisdiction and have the authority to bind your organization (if submitting on its behalf);
- your inquiry and any use of Inquiry Materials will comply with all applicable laws, regulations, and professional obligations (including ethics rules and confidentiality duties);
- you will not use the Inquiry Channels to transmit malicious code, automated spam, or security exploits;
- you will not use any Inquiry Materials to compete unfairly with Thinking OS™ or to misrepresent our capabilities to third parties.
7. Privacy and Data Protection
Our collection and use of personal information in connection with the Inquiry Channels is governed by our Privacy Policy.
To the extent you submit any personal information about other individuals, you represent that you have obtained all necessary consents and have provided any required notices.
8. No Warranties; Disclaimers
The Inquiry Channels and any Inquiry Materials are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
We do not warrant that any pilot, integration, or runtime exposure will be available, suitable for your environment, or free from defects.
Nothing in the Inquiry Materials constitutes legal, regulatory, or compliance advice.
9. Limitation of Liability
To the maximum extent permitted by law:
- Thinking OS™ will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages of any kind, or for any loss of profits, revenues, data, or business opportunities, arising out of or in connection with these Inquiry Terms, your use of the Inquiry Channels, or any Inquiry Materials; and
- Our aggregate liability arising out of or relating to these Inquiry Terms will not exceed one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations of liability; in those cases, the limitations will apply only to the extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Thinking OS™, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your breach of these Inquiry Terms;
- your misuse of the Inquiry Channels or Inquiry Materials; or
- any information you submit that violates the rights of a third party or applicable law.
11. Governing Law and Dispute Resolution
These Inquiry Terms are governed by the laws of Virginia, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Inquiry Terms or the Inquiry Channels will be brought exclusively in the state or federal courts located in Chesterfield County Virginia, and you and Thinking OS™ consent to their personal jurisdiction and venue.
12. Changes to These Inquiry Terms
We may update these Inquiry Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Inquiry Channels after any changes become effective constitutes your acceptance of the revised Inquiry Terms.
