Governing AI Decisions Without Losing Authority or Auditability
Status & scope: This page describes control objectives and evaluation criteria for governing AI-enabled execution. It is not legal advice and does not create regulatory obligations.

observable behaviors and decision evidence, not disclosure of proprietary enforcement logic.
1. What You Are Worried About
If you sit on a risk committee or report to a board, your concerns are less about models and more about governance and accountability:
- Who is actually authorizing actions when AI is in the loop?
- Can someone act outside their mandate because a workflow or agent mis-routed a decision?
- When something goes wrong, can we reconstruct the decision trail well enough for regulators, courts, and insurers?
- Are we quietly drifting away from our own policies as teams ship AI features and automations?
Most AI governance decks talk about models, prompts, and training data.
What they don’t give you is a concrete answer to:
“When this filing / approval / payment executed, who had the authority to let it go through, under which rule, and where is that written down?”
A pre-execution governance runtime is a common architectural way to implement this execution layer.
- It enforces your rules at the moment of action, and
- It produces sealed evidence of what was allowed, refused, or escalated.
(“Sealed” here means an append-only decision record with integrity controls, tenant-scoped identifiers, and traceable rule/policy versions.)
2. The Core Pattern in Leadership Terms
Think of the pre-execution governance runtime as a gate that sits directly in front of your highest-risk actions.
Whenever a workflow – human, AI, or hybrid – tries to execute a governed action (file, submit, approve, move money), the runtime asks five questions:
- Who is acting? (user, role, group, agent sponsor)
- Where are they acting? (matter, case, account, jurisdiction)
- What are they trying to do? (action type, motion, operation)
- How fast does it need to happen? (urgency / turnaround)
- What consent or constraints apply? (client instructions, supervision, risk posture)
Based on your policies, it returns:
- ✅ Approve – allowed as-is.
- ❌ Refuse – blocked under current rules.
- 🟧 Supervised Override – only allowed if a named decision-maker accepts responsibility.
For every governed attempt, it records an integrity-verifiable decision artifact under your control with:
- who, what, where, when
- which policy version applied
- what the gate decided and the machine-readable basis (e.g., refusal / override codes, policy version references)
This is not a model and not a drafting tool.
It is
your enforcement layer between AI-assisted work and the real world.
3. How This Fits Your Governance Stack
You already have three layers – this pattern just names them and makes the middle one explicit.

2. Execution / Governance Runtime Layer (New, Critical)

What the runtime does not do:
- It does not draft or file documents.
- It does not give legal or professional advice.
- It does not invent policy.
What it does do:
- Applies policies you already own (from GRC, IdP, matter systems).
- Fails closed when policy or identity is unclear.
- Creates a tenant-controlled, integrity-verifiable record of every approve / refuse / override.
This preserves formal decision rights while improving enforceability and auditability.
4. What “Good” Looks Like to Your Board & Risk Committee
You can think of this as a board-level control objective:
“All AI-assisted workflows that can bind the firm, clients, or customers are fronted by an independent, fail-closed governance runtime that produces sealed decision evidence.”
Concretely, that means:
- Scope is clear. You have a documented list of high-risk AI workflows (filings, approvals, payments, record changes).
- Gates are in place. Each of those workflows calls the runtime before executing the final action.
- No side doors. There is no technical path to perform those actions outside the runtime, except documented contingencies.
- Policies are wired in. Rules come from your existing GRC / policy system, IdP, and matter systems – not from ad-hoc config.
- Evidence is captured. Approvals, refusals, and overrides produce sealed artifacts stored in your own environment.
- Oversight is real. Risk / ethics / audit functions regularly review artifacts and metrics (refusal rates, override patterns, outliers).
From a board perspective, this gives you three sentences you can stand behind:
- “We know where AI can bind the firm.”
- “We have a gate in front of those actions that fails closed and records decisions.”
- “We can prove how that gate behaved if something goes wrong.”
5. Implementation Questions to Ask Internally (and of Vendors)
Use these in risk committee materials, project approvals, and vendor selection.
A. Scope & Architecture
- Which of our AI or automation projects can actually submit, sign, approve, or move money?
- Are those workflows routed through a pre-execution governance runtime, or are we relying on conventions and UI warnings?
- Is that runtime independent of any single model or vendor application?
B. Controls & Accountability
- When the runtime can’t find a clear policy or identity, does it refuse by default?
- Which actions always require a supervised override, and who is allowed to give it?
- How are decision-makers identified and recorded when they override?
C. Evidence & Oversight
- Where are our sealed artifacts stored, and under whose retention policy?
- Can we pull a sample of approve / refuse / override artifacts for last quarter and read them without a developer in the room?
- Which committee or function reviews patterns in those artifacts? How often, and what have we changed based on them?
D. Vendor & Data Use
- For any external runtime or platform, are they allowed to train models on our decision data or artifacts?
- If that vendor disappeared, could we still access and interpret our sealed artifacts?
- How are changes to vendor behavior (e.g., new features, new training use) communicated to us and approved?
6. Board-Level Control Objective (Public)
Pre-Execution Governance for High-Risk AI Actions
The organization SHOULD ensure that AI-enabled workflows capable of submitting filings, approving binding decisions, moving funds, or amending core records are fronted by a pre-execution governance gate that:
- evaluates authority prior to execution;
- defaults to refusal when policy/identity/context are missing or inconsistent; and
- records integrity-verifiable decision artifacts under the organization’s control.
7. FAQ – For GCs, MPs, CROs, and Risk Committees
Q1. Is this just another way of saying “use guardrails”?
A. No. Guardrails govern what a model may say. The runtime governs what may actually execute under your authority (file, submit, approve, move money). It is a different layer.
Q2. Do we have to centralize all our data to do this?
A. No. The runtime can operate primarily on labels and metadata pulled from systems you already own (GRC, IdP, matter, DLP). It is a gate, not a data lake.
Q3. Who owns the policies the runtime enforces?
A. You do. Policy continues to be authored and approved by leadership, risk committees, and GCs. The runtime enforces and records; it does not create policy or provide advice.
Q4. Can we start in a low-risk way?
A. Yes. Many organizations begin with observe-only mode, where the runtime records what it would have allowed or refused without blocking anything. You use that data to tighten policies before enforcement.
Q5. Does this replace our existing GRC, IdP, or matter systems?
A. No. Those systems remain sources of truth. The runtime connects to them and uses their outputs in real time to decide whether an action is authorized to proceed.
Q6. How does this help us with regulators, clients, and insurers?
A. You can show not only that you have policies, but that you have a non-bypassable, fail-closed gate enforcing them – and sealed evidence of how it behaved. That is a materially stronger position in examinations, RFPs, panel reviews, renewals, and negotiations after incidents.
